Udyam registration is the online registration of a micro, small or medium enterprise (MSME) with the Ministry of Micro, Small and Medium Enterprises, which replaced the older Udyog Aadhaar and Entrepreneurs' Memorandum filings. It is a free, self-declaration based process that gives an MSME a permanent Udyam Registration Number and certificate. This page explains the classification limits as revised from 1 April 2025, who can register, the process, the benefits, and the rules on graduation between categories.
What is Udyam registration?
Udyam registration is the government's official recognition of your business as a micro, small or medium enterprise. It was introduced on 1 July 2020 and the portal assigns a unique Udyam Registration Number (URN) starting with 'UDYAM', followed by the State code, district code and a serial number. The certificate is issued electronically and does not require renewal.
Eligibility is based on two tests applied together: the investment in plant and machinery or equipment, and annual turnover. Notification S.O. 1364(E) dated 21 March 2025 raised these limits with effect from 1 April 2025 'for all purposes'. A micro enterprise now has investment up to ₹2.5 crore and turnover up to ₹10 crore, a small enterprise up to ₹25 crore of investment and ₹100 crore of turnover, and a medium enterprise up to ₹125 crore of investment and ₹500 crore of turnover. The earlier limits were ₹1 crore and ₹5 crore for micro, ₹10 crore and ₹50 crore for small and ₹50 crore and ₹250 crore for medium.
The same notification sets the composite rule that is easy to miss. An enterprise moves up to the next category if it crosses either the investment or the turnover limit, but it moves down only when it falls below both limits of the lower category. Exports are excluded from the turnover figure, and all units of the same business under one PAN are aggregated when you classify.
Classification relies on data. Investment is measured at the written down value of plant and machinery or equipment as shown in the income tax return, and turnover is drawn from GST returns, so the portal pulls this information automatically using your PAN and GSTIN. Since the details are self-declared, you remain responsible for the accuracy of what you enter.
Who can and should register?
Any enterprise engaged in manufacturing, production, processing or services, as well as traders where permitted, can register as long as it falls within the limits. Registration is voluntary in law, but it is the entry point to many MSME-specific benefits, so most small businesses take it. Typical applicants include:
- Proprietorships, partnership firms, LLPs and companies that produce goods or provide services
- Wholesale and retail traders, who are now permitted to register on the Udyam portal, subject to the rules on how they are treated for priority sector lending
- Startups and professional service firms that want to use MSME schemes and collateral-free credit
- Manufacturers supplying to large buyers, government departments and public sector undertakings
- Artisans, cottage industries, handloom and khadi units
- Informal micro enterprises without GST registration, who can register through the Udyam Assist Platform
Benefits of MSME (Udyam) Registration
Easier credit and priority sector lending
Banks treat registered MSMEs as priority sector borrowers and offer collateral-free credit through schemes such as the Credit Guarantee Fund Trust for Micro and Small Enterprises, subject to scheme conditions.
Protection against delayed payment
Under the MSMED Act, buyers must pay registered micro and small suppliers within the agreed period and not later than 45 days from acceptance, failing which compound interest accrues. Tax rules also restrict a buyer's deduction for late payments to micro and small enterprises.
Government procurement and tender benefits
Central and State procurement policies include exemptions from tender fees and earnest money and reserved purchase for MSMEs, with the Udyam certificate as proof.
Subsidies and scheme access
Many central and State schemes for capital subsidy, interest subvention, technology upgrade, patent and trademark cost reimbursement and exhibition support require Udyam registration.
Continued benefits for a limited period after growth
If your enterprise graduates to a higher category, non-tax benefits of the earlier category continue for three years, which gives time to adjust.
Eligibility and classification
There is no minimum investment. Your category depends on where you fall on both tests, and the composite rule applies in both directions.
- Micro: investment in plant and machinery or equipment up to ₹2.5 crore and turnover up to ₹10 crore
- Small: investment up to ₹25 crore and turnover up to ₹100 crore
- Medium: investment up to ₹125 crore and turnover up to ₹500 crore
- Turnover excludes exports of goods or services; investment is the written down value from the income tax return
- All units under the same PAN are combined for classification, and the enterprise registers once, with units added to the same Udyam registration
- An enterprise graduates up as soon as it crosses either limit, but moves down only when it falls below both limits
- Reverse graduation is applied from 1 April of the next financial year, so the enterprise stays in its current category until the year closes
Documents required
Identity and business details
- Aadhaar number of the proprietor, managing partner, karta or authorised signatory, linked to a mobile number for OTP
- PAN of the enterprise, validated on the portal against the income tax database
- GSTIN of the enterprise, where it is registered, since the portal uses GST data for turnover
- Business name, type of organisation and date of commencement
- Mobile number and email address for the certificate and OTP communications
Operational and bank details
- Official address of each plant or unit, with PIN code
- Bank account number and IFSC code of the enterprise
- National Industrial Classification (NIC) code for each activity, chosen from the portal list
- Number of persons employed and details of investment in plant and machinery or equipment
- No separate certificate or proof upload is normally required, as the portal relies on self-declaration and data pulled from government databases
Step-by-step Udyam registration process
The registration is free and entirely online. Do not pay anyone a 'government fee' for it, as the portal does not charge one.
Check your category and PAN
Work out your investment and turnover, aggregate all units under the same PAN, and confirm that your PAN and GST details are active and consistent with your business name.
Open the Udyam portal
Visit udyamregistration.gov.in and select the option for new entrepreneurs not yet registered, or for those with an earlier Udyog Aadhaar or EM-II who must re-register.
Verify Aadhaar
Enter the Aadhaar number and name of the proprietor or authorised signatory and validate with the OTP sent to the Aadhaar-linked mobile number.
Validate PAN and GST
Enter the PAN and the portal will fetch the name and incorporation or birth date. Enter the GSTIN where applicable and the portal pulls turnover and other details.
Fill in the business details
Add the enterprise name, type of organisation, address of each unit, bank details, NIC activity codes and employee numbers. Choose NIC codes with care since they reflect your main activity.
Declare investment and turnover
Where the portal does not auto-fill, enter investment and turnover for the relevant year. The portal takes figures from the income tax and GST systems, so make sure your returns are filed and reflect the same numbers.
Submit with OTP and download the certificate
Submit the application with the final OTP, receive the Udyam Registration Number and download the Udyam certificate with its QR code.
Update the registration when facts change
Update the portal when details such as turnover, address, activity or ownership change, and use the update option instead of making a fresh registration.
Government fees
Udyam registration is free of charge on the official portal. There is no fee for registering, updating or downloading the certificate.
| Item | Amount | Note |
|---|---|---|
| Udyam registration | ₹0 | No government fee on udyamregistration.gov.in |
| Update or correction of details | ₹0 | Done through the portal's update option |
| Udyam Assist Platform certificate | ₹0 | Issued for informal micro enterprises through designated agencies; certificate treated on par with Udyam certificate for priority sector lending purposes |
Professional charges are quoted separately after reviewing your case. Government fees are paid directly to the authority. Because the portal is free, any request for a government fee from a third-party site should be treated with caution.
How long does Udyam registration take?
The process is online and based on self-declaration, so the certificate is generally generated soon after a successful submission once PAN and GST data are validated. Delays arise when the Aadhaar mobile number is not linked, when PAN or GST details do not match the entered name, or when the portal is slow. Plan for a short period but do not rely on a fixed timeline.
| Stage | Typical time |
|---|---|
| Preparing PAN, GST and Aadhaar details | A few hours to 1 working day |
| Filling in and submitting the application | Same day |
| Certificate generation | Generally online after submission; no fixed guarantee |
Validity, updates and graduation
The Udyam registration is permanent and does not need renewal. What needs attention is accuracy, because the portal reclassifies the enterprise using income tax and GST data. If your enterprise crosses a limit, it is upgraded; if it falls below both limits of a lower category, it is moved down from 1 April of the next financial year. The earlier category's non-tax benefits continue for three years after an upward move. Keep your PAN-linked data updated and change address, activity, bank or employee details through the update option on the portal.
Compliance after registration
- Keep the Udyam certificate and URN on your invoices, letterhead and vendor forms as required by your buyers
- Update turnover, investment, address, NIC codes and employee counts on the portal when they change
- File income tax and GST returns on time, since the portal relies on them for classification
- Pay micro and small suppliers within the agreed time and not later than 45 days of acceptance, since delayed payments carry compound interest and affect tax deductions
- File the half-yearly return on outstanding payments to micro and small enterprises, if you are a company that buys from them, as discussed under MSME Form 1 return
- Watch for graduation to a higher category and plan for the three-year transition on non-tax benefits
- Maintain bank, GST and PAN details in the same name as the Udyam record
MSME classification: old limits vs revised limits from 1 April 2025
| Category | Earlier limit (investment / turnover) | Revised limit from 1 April 2025 |
|---|---|---|
| Micro | Up to ₹1 crore / ₹5 crore | Up to ₹2.5 crore / ₹10 crore |
| Small | Up to ₹10 crore / ₹50 crore | Up to ₹25 crore / ₹100 crore |
| Medium | Up to ₹50 crore / ₹250 crore | Up to ₹125 crore / ₹500 crore |
Common mistakes and rejection reasons
Using old limits
Many websites still show the 2020 limits of ₹1 crore, ₹10 crore and ₹50 crore. From 1 April 2025 the limits are ₹2.5 crore, ₹25 crore and ₹125 crore for investment, with matching turnover limits.
Ignoring the turnover test
An enterprise with low investment but turnover above the ceiling will be moved to a higher category. Both tests are applied.
Not aggregating units under the same PAN
Registering a second unit separately, or treating group entities with different PANs as one, leads to wrong classification. Units under the same PAN are combined.
Paying a third party a 'government fee'
The portal charges nothing. Sites that charge fees for the official certificate are consultants or imitators, and the amount is not paid to the government.
Aadhaar mobile not linked
OTP goes to the mobile number linked to Aadhaar. If it is not linked or is outdated, the application cannot proceed until Aadhaar is updated.
Wrong NIC code
Choosing an activity code that does not match your actual business can create problems for scheme eligibility and for bank loans under priority sector lending.
Not updating after growth
Failing to update turnover and investment can lead to classification based on stale data and loss of benefits you are entitled to.
Penalties for non-compliance
Registration under Udyam is voluntary, so not registering is not an offence. But the benefits are lost, and a buyer's liabilities to micro and small suppliers depend on registration. The MSMED Act also provides penalties for companies that fail to furnish the prescribed return on outstanding payments, and for wrong information in the registration. We describe these qualitatively because exact amounts have not been verified against the Act text here. Late payment to registered micro and small suppliers attracts compound interest under the Act, and tax rules limit the buyer's deduction for such overdue payments.
Practitioner tips
- Before you register, pull your latest ITR and GST returns and check investment and turnover against what the portal will display. Differences between your books and the returns are the usual cause of surprise classification.
- Register the entity that actually invoices customers. For group businesses with different PANs, each PAN needs its own Udyam registration and its own classification.
- If you are a trader, say so accurately in the activity codes. Trading units are covered for priority sector lending purposes, but the portal and banks treat them in their own way, so ask your bank how it treats your registration.
- Download the certificate and also save the Udyam number in your accounting software. Large buyers often ask for it during onboarding and use it to decide payment timelines.
- If your business is informal and has no GST registration, ask a designated agency about Udyam Assist instead of giving up on registration, and move to full Udyam registration once GST is in place.

MSME (Udyam) Registration: frequently asked questions
What are the MSME classification limits in 2026?
From 1 April 2025, a micro enterprise has investment up to ₹2.5 crore and turnover up to ₹10 crore, a small enterprise up to ₹25 crore and ₹100 crore, and a medium enterprise up to ₹125 crore and ₹500 crore. These come from S.O. 1364(E) dated 21 March 2025 and replace the older ₹1 crore, ₹10 crore and ₹50 crore limits.
Is there any fee for Udyam registration?
No. Registration on the official Udyam portal is free, and so are updates and downloading the certificate. The government does not charge a fee for it. If a website asks you to pay a government fee for the certificate, it is a third-party service and the money does not go to the government.
What documents are needed for Udyam registration?
You mainly need the Aadhaar number of the proprietor or authorised signatory, the PAN of the enterprise, GSTIN where registered, the business address, bank account details, NIC activity codes and employee numbers. The portal uses self-declaration and fetches PAN and GST data automatically, so separate certificates are not normally uploaded.
Is Udyam registration mandatory?
Registration is voluntary under the law, but it is the key to MSME benefits such as priority sector lending, collateral-free credit schemes, procurement preferences and protection against delayed payment. Most small businesses register for these reasons, and many buyers and banks ask for the certificate.
Can a trader register on Udyam?
Yes. Retail and wholesale traders can register on the Udyam portal. Their treatment for certain benefits, such as priority sector lending, is limited in scope, so ask your bank how it handles trading enterprises. Registration still helps with identity, scheme access and some procurement rules.
What is the Udyam Assist Platform?
Udyam Assist is a platform launched by SIDBI in January 2023 for informal micro enterprises that are not registered under GST. They get registered through designated agencies such as banks, NBFCs, microfinance institutions and government departments. The resulting certificate is treated on par with the Udyam certificate for priority sector lending.
What happens when my enterprise grows to the next category?
It moves up as soon as it crosses either the investment or the turnover limit. For three years afterwards, the non-tax benefits of the earlier category continue. If it later falls below both limits of a lower category, the downgrade applies from 1 April of the following financial year.
Does exports turnover count for MSME classification?
No. Under the notification, the turnover of exports of goods or services is excluded when calculating turnover for classification. Investment is measured from the income tax return and turnover from GST data, and all units under the same PAN are aggregated.
Do I need to renew Udyam registration?
No. The Udyam registration is permanent and does not expire. You should, however, update the details on the portal when turnover, investment, address, activity or ownership changes, since the portal reclassifies your enterprise based on tax data.
Can I have more than one Udyam registration?
No. An enterprise can have only one Udyam registration, and all its units and activities are added to that registration. The classification is done on the combined investment and turnover of all units under the same PAN, so splitting units into separate registrations is not permitted.
